Software Subscription is an option offered by AIMS whereby you can license and use COMPAS software, and obtain associated support and maintenance services on a monthly subscription basis, rather than by means of a traditional purchase of a software license.

Terms of the Subscription Agreement

There are no third-party lenders involved. The Software Subscription agreement lies between AIMS and your company.

You can start out with only the absolutely necessary system configuration. The monthly subscription amount that is based on this initial configuration will be guaranteed by AIMS not to go up for four years. Example: If your beginning subscription payment is $1,040.00 per month, and if your COMPAS configuration does not change over the next four years, you are guaranteed that your monthly payment will not be more than $1,040.00. Thereafter, AIMS will reserve the right to change the payment amount.

You will be contractually obligated to make at least 24 payments or exercise a buy-out option. After the 24th payment, the subscription agreement will be renewed on an annual basis, at the discretion of both AIMS and your company.

AIMS reserves the right to set new rates for add-on modules, add-on users and add-on companies.

Your COMPAS configuration can be scaled up or down as needed, and your monthly payments will immediately reflect these changes to your configuration. Example: If you need to add another system user, your next month’s subscription payment will reflect that increase. If you reduce the number of system users, your next month’s payment will reflect that as well.

You have a buy-out option. This option can be exercised at any time. The buy-out would change the basis of your use of COMPAS to that of a conventionally-licensed user.

Software Subscription Service Package

Besides the use of COMPAS, you also receive these services as a part of the Software Subscription package:

Software upgrades— includes both regularly released enhancements and entire version
upgrades of COMPAS
Software support—for COMPAS, the UNIX or Windows server operating system, and the
various utility software required

Note: This service package does not provide miscellaneous things sometimes needed to accomplish upgrades: new runtimes, new versions of utility software, etc.

Implementation Services Package

$6,000.00 for the services of 1 trainer; add $2,750.00 if a second trainer is needed; your company will pay travel expenses for AIMS’ trainer(s). The $6,000.00 standard* fee provides:

2 days pre-installation training in AIMS offices
5 days on-site
20 hours of residual training and support service provided via modem/Internet and Double
Vision or Linktivity.

* There are upgraded Implementation Services Packages available for larger customers. AIMS sales representatives can describe these.

Hardware, operating system software, runtime and utility software

AIMS will exert its best efforts to make any pre-existing computer hardware work with COMPAS. Not all existing hardware will be compatible with COMPAS. Any research or labor required to adapt existing computer hardware for use with COMPAS will be billed at $90.00 per hour.

You can buy any needed computer hardware and operating system/utility software from AIMS.

You can buy any needed computer hardware and operating system/utility software from a vendor other than AIMS. AIMS reserves the right to specify exactly the required equipment. AIMS will charge $90.00 per hour with a minimum of $750.00 to prepare such equipment for use with COMPAS.

AIMS can arrange leasing of any needed computer hardware/o.s./utilities.

Definitions

Configuration - the number of users, the number of separate companies and the particular optional modules (Card Lock, Electronic Bank Reconciliation, etc.) of which a COMPAS set-up consists
Add-on - a user, company or optional module that is added to the system after you have taken delivery of COMPAS
Support - day-to-day help with the operation of our software; support is available via 800-number, fax, email and Internet

Greatly reduced cash outlay required.
There is a known cost of system ownership from month to month.
(It can be likened to “hiring” AIMS as DP dept. for a monthly “salary.”)
The system is quickly scalable—your monthly cost scales up or down immediately to reflect users, companies, modules, etc.
All support for AIMS software and operating system software is included.
Software upgrades (except for whole new modules) are included—even version upgrades.
You are freer to change your technology base in the future.
You are freer in exercising options other than data processing-related ones (due to the smaller cash outlay involved with Software Subscription).
A subscription can be converted to a conventional license purchase at any time.

Rates and terms contained herein are only examples that may not apply to your actual agreement. Your agreement with AIMS will be as set forth in the Software Subscription Agreement and in the Software Maintenance and Support Agreement, and the terms of those Agreements will govern.
